Terms of Use

These terms explain what you can expect from Trip Centre and what we expect from you. We have tried to keep them clear. Please read them, along with our Privacy Policy, before you use the service.

Last updated:

This is a draft under legal review. It reflects how Trip Centre works today and may change before it is finalized.

1.Agreement to these terms

These Terms of Use ("Terms") are an agreement between you and SKRP Holdings ("Trip Centre", "we", "us"). They apply to our website and to the Trip Centre application (together, the "Service"). By using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Service.

If you use the Service on behalf of an Outfitter, Camp or other outdoor organization (an "Organization"), you confirm that you are authorized to accept these Terms for it. Where an Organization has signed a separate pilot, order or subscription agreement with us, that agreement governs if it conflicts with these Terms.

2.What Trip Centre is

Trip Centre helps people prepare for outdoor trips. Organizations use it to share their preparation guidance, products, rentals and logistics, and individuals use it to plan a Trip's Packout, Food and Logistics.

Trip Centre is not a booking service, retailer or guide. Adding a reservation, permit or rental to a Trip records it and reminds you about it. It does not make, hold or guarantee the booking. Product screens shown on our website are illustrative examples rather than live data.

3.Outdoor safety and your responsibility

Outdoor travel carries real risk. Guidance in Trip Centre, whether from us or from an Organization, is general preparation information. It does not replace your own judgment, training, current conditions, official advisories, or the rules of the parks and land managers where you travel.

You are responsible for deciding whether a Trip is suitable for you and your group, for checking weather, fire bans, water levels, closures and permit requirements with the relevant authorities, and for the gear, food and decisions you take on the trip.

4.Accounts and guest use

  • You may start a Trip without an account. A Trip created this way is tied to your browser and is deleted after 90 days without use unless you sign in and keep it.
  • To create an account you must be at least the age of majority in your province or territory, or have the permission of a parent or guardian.
  • Keep your password confidential. You are responsible for activity under your account, and you should tell us promptly if you believe it has been used without your permission.
  • Organization administrators control who can access their workspace and may remove access at any time.

5.Organizations

If you use Trip Centre as an Organization, you are responsible for:

  • the accuracy, safety and legality of the guidance, products, prices, rentals and logistics you publish;
  • your relationship with your customers, families and staff, including your own terms, waivers, refund policies and privacy notices;
  • having the rights and consents needed for any information you add to Trip Centre; and
  • the people you invite to your workspace and what they do there.

Fees, pilot terms and service commitments for Organizations are set out in your separate agreement with us. Prices shown on our website are in Canadian dollars and do not include applicable taxes.

6.Purchases from Organizations

Trip Centre does not sell products or take payment. When you choose to buy or rent from an Organization, you leave Trip Centre for that Organization's store. The purchase is between you and the Organization, under its terms, and it is responsible for pricing, availability, fulfilment, returns and customer service.

7.Acceptable use

When you use the Service, you agree not to:

  • break any law or infringe anyone's rights, including privacy and intellectual property rights;
  • upload content that is unlawful, misleading, harassing or harmful, or that contains malware;
  • access another person's or Organization's information without permission, or try to get around security or access controls;
  • scrape, copy or resell the Service or its content except as these Terms allow;
  • interfere with or place an unreasonable load on the Service; or
  • use the Service to send spam or unsolicited messages.

8.Your content

You keep ownership of the information and materials you add to Trip Centre ("Your Content"). You give us a non-exclusive licence to host, copy, process and display Your Content only as needed to provide, secure and improve the Service for you and, for Organizations, for the people you share it with. This licence ends when Your Content is deleted from the Service, except for copies kept in backups for a limited time or as the law requires.

If you send us suggestions or feedback, we may use them without obligation to you.

9.Our intellectual property

The Service, including its software, design, text, graphics and the Trip Centre name and logo, belongs to Trip Centre or its licensors and is protected by law. We give you a limited, personal, non-transferable right to use the Service under these Terms. All other rights are reserved.

10.Third-party services and links

The Service may link to or connect with websites, stores and services we do not control, such as an Organization's online store or a park reservation system. We are not responsible for them, and your use of them is governed by their own terms and privacy policies.

11.Changes and availability

Trip Centre is evolving, and we may add, change or remove features. We work to keep the Service available but do not promise it will be uninterrupted or error-free. Features described as pilot, preview or beta may change or end at any time.

12.Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available". We do not guarantee that guidance, product information, recommendations or logistics in the Service, including content provided by Organizations, are complete, accurate or suitable for your trip.

13.Limitation of liability

To the extent permitted by law, Trip Centre is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and $100 CAD.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for gross negligence or intentional misconduct, or any rights you have under consumer protection legislation in your province or territory, including Quebec's Consumer Protection Act.

14.Indemnity

If you use the Service for business purposes, including as an Organization, you will indemnify Trip Centre against claims, losses and reasonable costs arising from your content, your products and services, or your breach of these Terms or the law. This section does not apply to consumers where the law does not permit it.

15.Suspension and termination

You may stop using the Service at any time and may ask us to close your account by emailing support@tripcentre.app. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give notice first. Sections that by their nature should survive termination, such as ownership, disclaimers, limitation of liability and governing law, will survive.

16.Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and Trip Centre agree to the jurisdiction of the courts of Ontario, except that if you are a consumer, you may also bring proceedings in the courts of the province or territory where you live, and nothing here limits the mandatory protections of the laws of your province or territory.

17.Changes to these terms

We may update these Terms as the Service changes. We will post the new version here with a new date. If a change is material, we will give you reasonable notice by email or in the application before it takes effect. Continuing to use the Service after the change takes effect means you accept the updated Terms.

18.General

These Terms, together with our Privacy Policy and any separate Organization agreement, are the entire agreement between you and Trip Centre about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.

19.Contact us

Questions about these Terms can be sent to support@tripcentre.app or by mail to SKRP Holdings, 222 Queen Street #1000, Ottawa, ON K1P 5V9.
